1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and YouVo AI Systems Studio ("we," "us" or "our"), concerning your access to and use of our website as well as any other media form, service, or AI architecture deployed by us.

You agree that by accessing the site or utilizing our services, you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Site and our services and you must discontinue use immediately.

2. Scope of Services

YouVo provides engineering, consulting, and deployment services for AI systems, multi-agent architectures, and automated workflows. The specific deliverables, timelines, and milestones for any project will be explicitly outlined in a separate, mutually agreed-upon Statement of Work (SOW) or Master Services Agreement (MSA).

We reserve the right to modify, suspend, or discontinue any part of our public-facing services or website at any time without notice. Custom enterprise deployments are governed by their respective SLAs.

3. Artificial Intelligence and Non-Determinism

Nature of AI: You acknowledge that Artificial Intelligence (AI) and Large Language Models (LLMs) are probabilistic and non-deterministic by nature. While we engineer robust guardrails, RAG (Retrieval-Augmented Generation) pipelines, and fallback protocols, we cannot guarantee 100% accuracy, factual correctness, or completely predictable outputs from AI models.

Human oversight: Our systems are designed to augment human operations, not replace accountability. You agree to maintain appropriate human-in-the-loop oversight for critical business decisions, financial transactions, and client-facing communications generated by our automated systems.

We shall not be held liable for business losses, reputational damage, or operational errors resulting directly from hallucinations, inaccurate generative outputs, or latency originating from third-party model providers.

4. Intellectual Property Rights

Unless otherwise indicated in a specific SOW, the Site, its source code, databases, functionality, software, website designs, and our proprietary orchestration frameworks ("Our IP") are owned or controlled by us and are protected by copyright and trademark laws.

Upon completion of a custom engineering project and receipt of full payment, you will receive a non-exclusive, perpetual license to use the custom-developed workflows and integrations deployed in your environment, unless the SOW explicitly transfers full intellectual property rights to your organization.

5. Limitation of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SITE OR OUR AI DEPLOYMENTS.

Certain state laws do not allow limitations on implied warranties or the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above disclaimers or limitations may not apply to you.

6. Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of your use of the deployed AI systems, breach of these Terms, or your violation of the rights of a third party.

7. Governing Law

These Terms shall be governed by and defined following the laws of the jurisdiction in which YouVo operates. YouVo and yourself irrevocably consent that the courts of that jurisdiction shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
